Key Responsibilities: Acquisitions & Dispositions: Structure, negotiate, and close complex commercial property acquisitions, purchase and sale agreements, and disposition transactions across office, industrial, multi-family, master-planned, and mixed-use asset classes. Real Estate Finance & Debt Structuring: Represent borrowers and lenders in structuring construction financing, permanent loans, mezzanine debt, refinancing agreements, and workouts. Joint Ventures & Entity Formation: Draft and negotiate sophisticated LLC operating agreements, joint venture vehicles, partnership structures, and capital stack documentation for real estate development projects. Commercial Leasing & Ground Leases: Oversee complex ground leases, retail/office anchor leases, and multi-tenant commercial leasing programs for regional property owners and institutional landlords. Development & Construction: Review and negotiate construction contracts, architect agreements, land use entitlements, covenants, and master planned community documentation. Deal Team Leadership: Lead due diligence workflows independently (title, survey, environmental, and municipal zoning) while mentoring junior attorneys and paralegals.
Qualifications: Education & Bar: Juris Doctor (J.D.) from an accredited law school; active license in good standing with the Washington State Bar Association (WSBA).
Experience: 7+ yearsof dedicated, sophisticated commercial real estate transactional experience, ideally developed within a reputable regional or national real estate practice group. Technical Mastery: Deep mastery of real estate finance, JV equity structures, purchase/sale agreements, and Title/Survey due diligence review. Client Engagement: Proven capability to lead multi-party closings and manage direct client relationships with developers, sponsors, family offices, and private equity investors. Book of Business: While a substantial portable book of business is not mandatory, evidence of client-facing initiative or a small portable practice ($100k+) is considered a strong plus.
