JOB DESCRIPTION:
The Corporate Paralegal will support the Legal Department in maintaining corporate governance records, managing subsidiary compliance activities, supporting SEC reporting obligations, and assisting with corporate transactions. This role will work closely with legal, finance, HR, and executive leadership teams to ensure accurate corporate records, regulatory compliance, and efficient administration of governance processes across approximately 100 domestic and international subsidiaries.
Key Responsibilities:
Maintain and update corporate minute books, governance records, and entity information for approximately 100 domestic and international subsidiaries. Administer and maintain corporate records within the company's entity management system, including Diligent Entities. Prepare, review, and file board and shareholder minutes, written consents, resolutions, and other corporate governance documents. Assist with the preparation, proofreading, and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and Proxy Statements. Support Section 16 reporting requirements by preparing and filing Forms 3, 4, 5, and Form 144 for officers and directors. Maintain records and documentation for equity compensation and stock incentive plans. Ensure corporate records, files, and documentation are organized and maintained in accordance with company records retention policies. Prepare and distribute Directors' and Officers' Questionnaires and coordinate annual response collection. Partner with cross-functional and international stakeholders to gather data and supporting documentation for SEC and regulatory filings, including Conflict Minerals reporting. Prepare and file EEO-1 reports and other required governmental filings. Communicate with legal, finance, HR, and business teams globally to obtain corporate information, documentation, and approvals. Assist with mergers, acquisitions, restructurings, entity formations, dissolutions, and other corporate transactions. Coordinate logistics, scheduling, materials, and documentation for the Company's Annual Stockholders Meeting. Support the preparation, review, and production of the Company's Annual Report. Provide administrative and project support to the General Counsel, Deputy General Counsel, and other members of the Legal Department. Participate in special projects and other legal and corporate governance initiatives as assigned. This role is on-site 5 days a week in Norwalk, CT 06851.Compensation is from $80k - $95k.
REQUIRED SKILLS:
AND EXPERIENCE2+ years of experience as a paralegal supporting corporate functions. Experience with subsidiary management including consents, minute books, AND org charts. Experience with an entity management software.

SKILLS AND EXPERIENCEExperience with Diligent Entities. Experience supporting a publicly traded company.
