Summary:
The Corporate Secretary II position supports designated boards and collaborates with the CHRISTUS Health Governance Department as it relates to the function of the Board of Directors. The Corporate Secretary position requires knowledge of legal-related work in corporate and subsidiary governance, such as governance practices/processes, drafting of corporate and subsidiary board resolutions, minutes and written consents, secretary’s certificates, acquisitions and other corporate governance transactions.
The Corporate Secretary II manages the full meeting lifecycle, from agenda preparation and materials coordination to documenting actions, decisions, and post-meeting follow-up. The role ensures alignment on material issues, integrates diverse viewpoints, and upholds delegated authorities and bylaw requirements.
Responsibilities:
Meets expectations of the applicable OneCHRISTUS Competencies: Leader of Self, Leader of Others, or Leader of Leaders.
Manage the end-to-end board for assigned boards and committees, including planning, scheduling, and execution of all meeting-related activities.
Coordinate board-specific needs with entity leader (hospital leader, system or regional executive, etc.)
Coordinate preparation and delivery of agendas, materials, minutes, actions, and decision documentation.
Partner with Legal, Finance, Risk, Compliance, and Administrators to ensure best practice and provide documentation for special approvals.
Maintain audit-ready governance documentation and support internal and external audit processes.
Implement standardized governance procedures, templates, and workflows across all entities for designated boards and committees.
Monitor compliance with accreditation and regulatory standards, policies, and approval thresholds and maintain transparent records validated through positive audit outcomes.
Lead board-specific issue resolution, risk management, and decision-support processes to move governance initiatives forward.
Manage quality and patient safety, and credentialing requirements for specified boards.
Collaborate with team for seamless support and coverage.
Manage conflict of interest tracking, succession planning, self-assessments, required screening needs, and diversity evaluation.
Manage all administrative and logistical needs related to designated boards and committees.
Up to 30% travel required.
Other duties as assigned by the leader related to Governance support.
Job Requirements:
Education/SkillsBachelor's degree preferred
Experience 7 years of executive-level support required
Licenses, Registrations, or CertificationsParalegal certification preferred
In accordance with the CHRISTUS Health License, Certification and Registration Verification Policy, all Associates are required to obtain the required certifications for their respective positions within the designated time frame.
Work Schedule: 5 Days - 8 Hours
