Corporate Paralegal

Responsibilities: Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents. Coordinate transaction closings and prepare closing-related documentation. Draft and file corporate and securities filings. Organize corporate records and assist with due diligence reviews. Prepare stock certificates and maintain capitalization tables and equity records. Research Blue Sky requirements and prepare related filings. Assemble legal opinions and supporting documentation. Support attorneys on private company, capital markets, and merger & acquisition transactions. Assist with training and mentoring junior support staff as needed. Handle additional project-based assignments in support of the corporate practice.

Qualifications: Bachelor's degree required. Approximately 3+ years of corporate transactional paralegal experience. Experience supporting private company, capital markets, and/or M&A transactions. Strong organizational skills and exceptional attention to detail. Ability to manage multiple deadlines in a fast-paced environment. Excellent written and verbal communication skills. Advanced proficiency with Microsoft Office, including Excel. Prior law firm experience preferred. Familiarity with equity management platforms such as Carta, Shareworks, or similar systems is a plus.
