About the role

Overview: Ballard Spahr LLP is seeking a Business and Transaction Paralegal to support lawyers both inside and outside the department to provide the highest quality of legal assistance to our clients. This position will work primarily with the Emerging Growth and Venture Capital practice in Philadelphia.
Responsibilities: Prepare due diligence documentation and assist with closings, including organizing, proofreading, and tracking documents. Prepare summaries in connection with disclosure documents and coordinate the execution of closing documents. Assist with researching federal, state, and local laws, and prepare Blue Sky searches as well as UCC and other required filings. Manage multiple priorities within time constraints and exercise initiative and judgment within the scope of assigned authority. Work both independently and as part of a team, collaborating with firm employees in all offices.
Qualifications: Minimum of a four-year college degree or significant relevant work experience in lieu of a degree. Prior paralegal experience and/or a paralegal certificate preferred. Proficiency with Microsoft Office and Adobe Pro. Understanding of Carta and other capitalization table management programs; working knowledge of Lexis preferred. Strong oral and written communication skills, organizational and interpersonal skills. Detail-oriented with good judgment and problem‑solving skills. Proactive self‑starter who can maintain high‑quality work product in a fast‑paced, team‑oriented environment.
