Our client is an Am 40 Law Firm seeking a Capital Markets Associate or Counsel with 5+ years of experience to join its highly regarded Corporate Finance and Capital Markets practice in New York. The team is widely recognised as one of the leading capital markets practices globally, advising on innovative and complex financial transactions across a broad range of industries and jurisdictions. With more than 125 lawyers across the US, Europe, and Asia, the group offers seamless collaboration on both domestic and cross-border matters and has established a market-leading reputation in private credit, private equity, IPOs, debt financings, life sciences capital raising, and sovereign bond offerings. The practice advises issuers, underwriters, placement agents, investment funds, asset managers, financial institutions, and sovereign entities on sophisticated capital markets transactions, providing associates with exposure to some of the most complex and high-profile matters in the market.
Key Responsibilities:
Advise issuers, underwriters, and placement agents on public and private securities offerings Lead and manage key aspects of transactions from due diligence through closing Draft and negotiate offering documents, disclosure materials, and transaction documentation Counsel clients on Securities Act and Exchange Act compliance, corporate governance, and ongoing reporting obligations Work closely with clients on complex domestic and cross-border financings Collaborate with colleagues across multiple offices and practice groups on multi-jurisdictional matters
Candidate Profile:
J.D. from a leading law school Admitted to practice in New York or eligible for admission 5+ years of capital markets experience gained at a leading law firm Experience representing issuers, underwriters, and placement agents in public offerings, private placements, and other securities transactions Strong understanding of securities law compliance and reporting requirements under the Securities Act of 1933 and Securities Exchange Act of 1934 Proven ability to assume significant responsibility on transactions and manage multiple workstreams Excellent drafting, analytical, and client-facing skills Experience advising business development companies (BDCs), investment funds, asset managers, or other regulated financial institutions is advantageous but not essential.
