Essential Functions and Primary DutiesCollaborate with federal tax and advisory teams in buy-side and sell-side transaction tax engagementsPerform multi-state tax due diligence to related middle market companies and private equity investors with a focus on nexus, exposure quantification, and audit riskApply and interpret state and local tax law as it relates to tax due diligence exercisesAnalyze state income and franchise tax, sales and use tax, property tax, payroll tax, and unclaimed propertyWrite detailed reports to present diligence findings to clientsResponsible for engagement management, including preparing and presenting tax findings and conceptsAdvise clients on how to maximize opportunities and minimize risks related to mergers and acquisitions and provide recommendations in the context of valuation and deal structuring alternativesDevelop and propose creative solutions to engagement and transaction risks and effectively manage problem resolutionReview and critique project databooks and reports prepared by project team membersPerform post-close follow-up work including nexus studies, voluntary disclosures, audit defense, and other SALT planningAdvise clients on preparation for exit and help implement remediation strategies ahead of saleInterface with senior executives of clients and target companiesDisplay the ability to manage and prioritize team responsibilities, and proactively consult with Directors and Managing DirectorsWork on multiple projects of varying size and complexityPlay an integral role in developing relationships with current and prospective clients, identify market opportunities and articulate our value proposition
