We are seeking a highly capable, detail-oriented Corporate Paralegal to provide litigation support and assist with contracts, corporate matters, tax compliance, regulatory compliance, and organizational structure. This hands-on role requires someone who can research unfamiliar legal and compliance issues, review and organize complex records, identify risks and outstanding requirements, and recommend practical next steps to help bring matters to resolution. The ideal candidate is smart, resourceful, and able to work independently. This person will work closely with management and outside legal, tax, and accounting professionals and will be expected to handle sensitive information with discretion and good judgment.
Key Responsibilities
Contracts & Legal Documents: Review contracts, agreements, amendments, and other legal documents. Identify key terms, obligations, deadlines, renewal provisions, and potential areas requiring attention. Maintain contract files and organize corporate legal documentation. Assist with drafting basic agreements, notices, amendments, and other legal correspondence. Coordinate document revisions and signatures with internal and external parties. Research legal and regulatory questions as needed and summarize findings for management or counsel.
Corporate Structure & Entity Management:
  • Maintain records relating to the company's legal entities, subsidiaries, ownership structures, and registrations.
  • Assist with organizational charts and corporate structure documentation.·
  • Track entity formation documents, certificates, registrations, annual reports, licenses, good-standing requirements, and other recurring corporate compliance obligations; investigate deficiencies or missed requirements and coordinate corrective actions through completion.
  • Assist with changes to corporate structures, intercompany relationships, and related documentation.
  • Coordinate with outside counsel and corporate service providers regarding entity maintenance.
Tax & Regulatory Support:
  • Assist with gathering and organizing information for federal, state, and international tax matters.
  • Review tax-related correspondence, notices, registrations, and filings for completeness and follow-up requirements.
  • Maintain tax and regulatory calendars and track filing deadlines.·
  • Research federal, state, and international tax compliance requirements, confirm applicable registrations and filing obligations, document findings, and coordinate with accountants, tax advisors, and outside counsel to resolve open questions and recommend appropriate follow-up actions.
  • Help organize documentation supporting corporate and tax compliance.
General Legal & Corporate Support·: Research legal, tax, corporate, and regulatory requirements using authoritative government, regulatory, and legal resources; evaluate how those requirements apply to the matter at hand; and prepare concise summaries that identify risks, open questions, and recommended next steps for management or counsel. Prepare summaries, spreadsheets, timelines, and other materials for management and outside advisors. Maintain organized electronic files and records.· Assist with litigation, audits, investigations, due diligence requests, corporate transactions, and other special projects by organizing matter files, collecting and reviewing documents, preparing chronologies and factual summaries, tracking deadlines, and coordinating information requested by management or counsel. Handle confidential corporate, financial, employee, and legal information appropriately. Perform other legal, corporate, and administrative projects as needed.
Qualifications:
  • Bachelor's degree preferred; paralegal certificate or relevant legal education a plus.·
  • 3–7 years of experience in a paralegal, legal operations, litigation support, corporate compliance, or comparable legal-support role.
  • Strong ability to read and understand contracts and other formal documents.
  • Strong research, analytical, and organizational skills.
  • Excellent attention to detail.
  • Comfortable working with spreadsheets, organizational charts, and large amounts of documentation.
  • Ability to learn new legal, tax, and corporate concepts quickly.·
  • Strong written and verbal communication skills, including the ability to convert legal, tax, litigation, and compliance research into concise summaries, issue lists, and practical recommendations for nonlegal stakeholders and professional advisors.
  • Ability to work independently in a remote environment and manage multiple priorities.
  • High level of discretion and professionalism when handling confidential information.
Preferred Experience: Corporate or transactional legal experience. Experience working with multiple legal entities or subsidiaries. Exposure to tax filings, corporate registrations, or regulatory compliance. Experience working with international entities or cross-border matters. Familiarity with contracts, corporate governance, or entity management systems. Experience working with attorneys, accountants, tax advisors, or other outside professionals.
Ideal Candidate: The ideal candidate is resourceful, analytically strong, and comfortable taking ownership of unfamiliar matters. They should be able to receive a complicated document, litigation request, or compliance issue; identify the governing requirements and missing information; conduct focused research; organize the relevant facts; and present a clear summary with practical options, recommended next steps, and any issues that require review by counsel, tax advisors, or management. This is a good opportunity for someone who wants broad exposure to corporate law, contracts, tax, entity management, and international business operations rather than a narrowly focused paralegal position.
